1. Acceptance of Terms

1.1 These Terms & Conditions (“Terms”) govern your access to and use of the website located at www.questfms.com (the “Site”) operated by Quest Food Management Services (“Quest”, “we”, “us”, or “our”).
1.2 Please be aware that these Terms constitute a binding legal agreement between you and Quest. By accessing or using the Site, you agree to be bound by these Terms. You also agree that you are responsible for your use of our Site and any resulting consequences. If you do not agree with any part of these Terms, you must not access or use the Site.
1.3 These Terms apply to all visitors, users and others who access or use the Site.

2. Eligibility Requirements

2.1 By accepting these Terms through your use of our Site, you certify that you are at least 18 years of age, or are at least 13 years of age and are using the Site under the supervision of a parent or legal guardian.

3. Scope of Use

3.1 The Site is provided for informational purposes about Quest’s food-management services.
3.2 The Site allows you to submit contact forms, subscribe to newsletters, and engage with our linked social-media feeds. There is no interactive product ordering or payment through this Site.

4. Representations, & Warranties

By using our Site, you represent, warrant, and agree:
4.1 You meet all age and eligibility requirements expressed in these Terms;
4.2 You are solely responsible for the accuracy, legality, and appropriateness of your use of the Site, including all data, files, and communications entered into the Site, as well as the use of downloadable assets generated from the Site; and
4.3 You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit use of the Site by others.

5. Prohibited Uses

5.1 In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);
5.2 For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personal information, or otherwise;
5.3 To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; or
5.4 To impersonate or attempt to impersonate Quest Food Management Services, a Quest Food Management Services employee, another user, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).

5.5 Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party’s use of the Site, including their ability to engage in real time activities through the Site;
5.6 Use any device, software, or routine that interferes with the proper working of the Site;
5.7 Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
5.8 Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, or any server, computer, or database connected to the site or attack the Site in any way; or
5.9 Otherwise attempt to interfere with the proper working of the Site.

6. Termination of Access

6.1 Quest maintains the right to suspend or disable your access to the Site or terminate these Terms, at our sole discretion and without prior notice to you if you breach the Terms, or if Quest otherwise determines such action is warranted.
6.2 Quest reserves the right to revoke your access to and use of the Site at any time, with or without cause.

7. Availability of the Site

7.1 We reserve the right to withdraw or amend our Site at our sole discretion without notice.

8.1 All content included on the Site (text, graphics, logos, images, audio clips, video clips, software) is the property of Quest or its licensors, and is protected by U.S. and international copyright, trademark and other intellectual property laws.
8.2 You may view, download and print material from the Site for your personal, non-commercial use only, provided you retain all copyright or other proprietary notices present in the material.
8.3 Except as expressly permitted herein, you agree not to copy, reproduce, republish, upload, post, transmit or distribute in any way any part of the Site without Quest’s prior written consent.

9. User Submissions and Conduct

9.1 By submitting any information to us (via contact form, newsletter signup or otherwise), you grant Quest a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, translate, distribute, display and perform the content in any media.
9.2 You represent and warrant that you own or otherwise control all rights to the content you submit, and that the submission does not violate any rights of any third party.
9.3 Prohibited conduct includes, but is not limited to: (a) using the Site to transmit any unlawful, threatening, defamatory, obscene or otherwise objectionable material; (b) interfering with or disrupting the Site, servers or networks connected to the Site; (c) using any robot, spider, scraper or other automated means to access the Site.
9.4 We reserve the right to remove or refuse to post any content submitted, for any reason at our sole discretion.

10. Third-Party Tools and Links

10.1 The Site embeds or uses third-party tools (for example, data collection and analytics via Google Analytics, CRM services via Salesforce) and maintains links to social-media pages.
10.2 Quest does not warrant or control the content, privacy practices or reliability of third-party tools, websites or services. Your use of those tools, links or services is at your own risk.

11. Disclaimer of Warranties

11.1 The Site is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, Quest makes no representations or warranties of any kind, express or implied, regarding the Site or its contents.
11.2 Quest does not guarantee that the Site will be secure or free from errors or viruses.
11.3 Quest expressly disclaims all warranties of any kind, whether expressed, implied or statutory, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of Liability

12.1 To the fullest extent permitted by applicable law, in no event shall Quest, its affiliates, officers, directors, employees, agents or licensors be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Site.
12.2 Quest’s total aggregate liability for all claims arising out of or relating to these Terms or your use of the Site shall not exceed one hundred U.S. dollars (US $100) or such lesser amount as permitted by law.

13. Indemnification

13.1 You agree to defend, indemnify and hold harmless Quest and its affiliates, officers, directors, employees and agents from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or rights of a third party.12.2 Quest’s total aggregate liability for all claims arising out of or relating to these Terms or your use of the Site shall not exceed one hundred U.S. dollars (US $100) or such lesser amount as permitted by law.

14. Governing Law and Jurisdiction

14.1 These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.
14.2 You agree that any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in DuPage County, Illinois or the federal district court for the Northern District of Illinois, and you consent to personal jurisdiction and venue therein.

15. Changes to Terms

15.1 We may revise and update these Terms at any time from time to time. The “Effective Date” at the top will reflect when the current version was posted.
15.2 Your continued use of the Site after any changes signifies your acceptance of the revised Terms. If you do not agree, you must stop using the Site.

16. No Waiver

16.1 The failure of Quest to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

17. Severability

17.1 If any provision of these Terms is deemed invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect.
17.2 These Terms constitute the entire agreement between you and Quest regarding the use of the Site, superseding any prior agreements.
17.3 The parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision.

18. Claim Limitations

18.1 You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of the use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
